These Terms govern your access to and use of the Chosen Labs website and your purchase of any product from us. By using this site, creating an account or placing an order, you accept these Terms in full. If you do not accept them, do not use the site.
1. Eligibility
You must be at least 21 years old to use this site or place an order. By ordering, you represent and warrant that you are a qualified researcher, laboratory professional or otherwise authorised purchaser, and that you have the knowledge, training, facilities and procedures required to receive, handle, store, use and dispose of research materials safely and lawfully.
2. Research Use Only
Every product sold by Chosen Labs is supplied strictly for laboratory research use. Products are not for human consumption, animal consumption, veterinary use, clinical use, diagnostic use, therapeutic use, cosmetic use, food use or household use.
Chosen Labs is a chemical supplier. We are not a pharmacy, compounding pharmacy, outsourcing facility, medical provider, supplement company or manufacturer of goods intended for human or animal use. Our products have not been evaluated by the U.S. Food and Drug Administration and are not intended to diagnose, treat, cure, mitigate or prevent any disease or condition.
You agree not to use, resell, transfer, repackage, distribute or otherwise make available any Chosen Labs product for any prohibited purpose. Breach of this clause is a material breach of these Terms.
3. Your Responsibilities
You are solely responsible for ensuring that your purchase, possession, import, handling, storage, use, transfer and disposal of any product complies with all applicable federal, state, local and international law. You are responsible for obtaining any licence, permit or authorisation your jurisdiction requires.
4. Orders, Pricing and Availability
All orders are offers to purchase and are subject to our acceptance. We may refuse, cancel, limit or reduce any order, in whole or in part, for any reason, including suspected misuse, ineligibility, pricing or listing errors, stock limitations, payment concerns or compliance review.
Prices, promotions and availability may change without notice. Where a product is listed at an incorrect price or with an incorrect description, we may cancel the order even after it has been confirmed, and will refund any amount paid for the cancelled item.
5. Returns, Refunds and Claims
All sales are final except as set out in our Returns, Refunds & Claims Policy, which forms part of these Terms. Claims for transit damage, missing items or incorrect items must be submitted within 2 days of confirmed delivery.
6. Prohibited Conduct
You must not: use any product for human or animal use; misrepresent your identity, age or purchaser status; resell or distribute products for prohibited purposes; provide false order or payment information; attempt to gain unauthorised access to the site or other accounts; scrape, disrupt or interfere with the site; or use the site for any unlawful purpose.
7. Account Security
You are responsible for keeping your account credentials confidential and for all activity under your account. Notify us promptly of any unauthorised use. We may suspend or close any account we believe has been compromised or misused.
8. Intellectual Property
All content on this site, including text, imagery, branding, product photography, layout and code, is owned by or licensed to Chosen Labs and is protected by intellectual property law. You may not copy, reproduce, republish or exploit it without our prior written permission.
9. No Medical or Scientific Reliance
We do not provide medical advice, health advice, dosing guidance, treatment guidance, diagnosis or prescribing information. Nothing on this site may be interpreted as instruction or encouragement for human or animal use. Any information is general and provided for research context only.
10. Disclaimer of Warranties
To the maximum extent permitted by law, the site, the services and all products are provided “as is” and “as available”, without warranty of any kind, whether express, implied or statutory. We expressly disclaim all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. Certificates of Analysis describe a tested batch at the time of testing and are not a warranty of performance, stability or suitability for your application.
11. Assumption of Risk
You acknowledge that your purchase, possession, storage, handling, testing, reconstitution, transfer, resale, use or misuse of any product is entirely at your own risk. You voluntarily assume all risk of injury, loss, damage or liability arising from it.
12. Limitation of Liability
To the maximum extent permitted by law, Chosen Labs and its owners, officers, employees, contractors, agents and affiliates are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost data, lost research or business interruption, however caused.
Our total aggregate liability arising out of or relating to these Terms, the site or any product will not exceed the amount you actually paid for the specific product giving rise to the claim.
13. Indemnification
You agree to defend, indemnify and hold harmless Chosen Labs and its owners, officers, employees, contractors, agents and affiliates from any claim, demand, loss, liability, damage, penalty, cost or expense (including reasonable legal fees) arising out of your use or misuse of any product, your breach of these Terms, your violation of any law, or any harm caused to a third party by you or by any product you obtained from us.
14. Chargebacks and Payment Disputes
You agree to contact us and attempt in good faith to resolve any order issue before initiating a chargeback or payment dispute. If you do not, we may contest the dispute using our transaction, fulfilment and communication records, suspend or terminate your account and ordering privileges, and recover our costs where the law allows.
15. Electronic Records and Consent
You agree that electronic signatures, order confirmations, checkout records, consent records, IP logs, timestamps and similar digital records maintained by Chosen Labs are valid, admissible evidence of your agreement and of the transaction.
16. Termination and Refusal of Service
We may suspend, restrict or terminate your account, site access, affiliate status or ordering privileges at any time, with or without notice and with or without stated reason, to the maximum extent permitted by law.
17. Arbitration and Class Action Waiver
Please read this section carefully. It affects your legal rights.
To the maximum extent permitted by law, any dispute, claim or controversy arising out of or relating to these Terms, the site, the services or any product will be resolved by final and binding arbitration administered by the American Arbitration Association under its applicable rules. Arbitration will take place in the State of Texas, in a county selected by Chosen Labs that is legally permitted and commercially reasonable, unless we agree otherwise in writing.
Arbitration will be conducted on an individual basis only. You and Chosen Labs each waive any right to bring or participate in a class, collective, consolidated or representative action, and the arbitrator may not consolidate claims or preside over any form of class proceeding.
18. Governing Law
These Terms, and any dispute arising out of or relating to them, are governed by the laws of the State of Texas, without regard to conflict-of-laws principles, except where superseded by applicable federal law.
19. Force Majeure
We are not liable for any delay, interruption, shortage or failure caused by events beyond our reasonable control, including acts of God, weather, fire, flood, epidemic, war, civil unrest, labour disputes, carrier or supplier failure, payment processor action, utility or network outage, or governmental or regulatory action.
20. Severability, Waiver and Entire Agreement
If any provision of these Terms is held unenforceable, that provision will be limited or severed to the minimum extent necessary and the remainder will stay in full force. Our failure to enforce any provision is not a waiver of it. These Terms, together with our Privacy Policy, Shipping Policy and Returns, Refunds & Claims Policy, form the entire agreement between you and Chosen Labs.
21. Changes
We may update these Terms at any time. We will revise the date above when we do. Continuing to use the site or place orders after a change means you accept the updated Terms.
